Terms of Service

1. Acceptance of Terms

By accessing and using Koinpoint ("the Platform"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services. These Terms constitute a legally binding agreement between you and Koinpoint.

2. Description of Services

Koinpoint provides the following services:

  • Crypto Exchange: Trading of cryptocurrencies (over 500 supported) with Naira
  • Utility Bill Payments: Purchase of airtime, data, electricity, and other utility services
  • Gift Cards: Purchase of global gift cards and vouchers
  • Wallet Services: Digital wallet for storing fiat (NGN) and cryptocurrencies

3. Account Registration and KYC

3.1 Account Creation

To use our services, you must:

  • Be at least 18 years old
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

3.2 KYC Verification

You must complete Know Your Customer (KYC) verification before accessing certain services. This includes providing your BVN, NIN, biometric data, and government-issued identification. You cannot deposit funds or trade until your KYC level reaches at least level 2.

4. Transaction Fees and Rates

  • Crypto Exchange: Exchange rates may include a spread versus reference markets; the amount you send and receive is shown before you confirm each trade
  • Utilities: Sold at face value with no markup
  • Gift Cards: Sold at face value
  • Fiat Withdrawals: Flat fees may apply

All fees are displayed before you confirm any transaction. Rates are subject to market conditions and may change without prior notice.

5. Prohibited Activities

You agree not to:

  • Use the Platform for any illegal or unauthorized purpose
  • Violate any laws, regulations, or third-party rights
  • Engage in money laundering, terrorist financing, or fraud
  • Attempt to hack, disrupt, or interfere with the Platform
  • Create multiple accounts to circumvent limits or restrictions
  • Use automated systems or bots without authorization
  • Transfer your account to another person
  • Provide false or misleading information

6. Transaction Processing

6.1 Transaction Authorization

All outbound transactions require:

  • Transaction PIN verification
  • Sufficient balance in your wallet
  • Completed KYC verification (for applicable transactions)

6.2 Transaction Finality

Once a transaction is confirmed and processed, it cannot be reversed except in cases of technical errors or fraud, subject to our investigation and approval.

7. Double-Entry Accounting

All financial transactions are recorded using a double-entry accounting system. Every debit has a corresponding credit entry, ensuring complete transaction integrity and auditability.

8. Idempotency

All financial POST requests must include a unique X-Idempotency-Key header. Duplicate requests with the same key will be rejected to prevent accidental double-processing.

9. Rate Limiting

The following rate limits apply:

  • Login: 5 attempts per 15 minutes
  • PIN Entry: 3 attempts per 10 minutes
  • API: 60 requests per minute

Exceeding these limits may result in temporary account suspension.

10. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, and software, are the exclusive property of Koinpoint and are protected by copyright, trademark, and other intellectual property laws.

11. Limitation of Liability

To the maximum extent permitted by law, Koinpoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Platform.

12. Indemnification

You agree to indemnify and hold harmless Koinpoint, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to your use of the Platform or violation of these Terms.

13. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or legal requirements. Upon termination, your right to use the Platform will immediately cease.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Nigeria.
